Wholesale Terms & Conditions

These Wholesale Terms & Conditions apply to all wholesale orders placed with Wolf Tribe Wholesale (“Wolf Tribe”, “we”, “us” or “our”).
By opening a wholesale account, placing an order, accepting a quotation or accepting delivery of goods from us, the customer (“Customer”, “you” or “your”) agrees to these Terms & Conditions.
Wholesale purchasing is available to approved businesses purchasing products for resale or legitimate business purposes.
We may request information reasonably required to establish or maintain a wholesale account, including business name, ABN, trading details and contact information.
Approval of a wholesale account does not oblige Wolf Tribe to accept every order.
Orders may be placed using any ordering method approved by Wolf Tribe, including our wholesale ordering system, email, telephone, purchase order or other agreed method.
An order becomes binding when it is accepted by Wolf Tribe.
We will make reasonable efforts to supply all products ordered. Product availability may vary and we may contact you to offer an alternative, backorder or refund where an item is unavailable.
Any minimum order quantities or minimum order values will be those advised on our current wholesale price list or ordering system.
Wholesale prices are those current at the time an order is placed unless a separate written quotation or pricing agreement applies.
Unless otherwise stated:
We may change wholesale pricing from time to time. Price changes will apply to future orders and will not retrospectively alter an order already accepted by us.
Unless Wolf Tribe has approved a credit account for the Customer, payment is required before goods are dispatched.
Customers with approved credit terms must pay invoices within the period stated on the invoice or credit agreement.
If an account becomes overdue, Wolf Tribe may reasonably:
Any genuine dispute regarding an invoice should be raised with us promptly so that it can be investigated.
Delivery charges will be advised at the time of ordering or included on the relevant invoice.
Any delivery date or timeframe provided by Wolf Tribe is an estimate unless expressly agreed otherwise in writing.
We will take reasonable steps to dispatch orders promptly but are not responsible for delays caused by carriers, weather, natural disasters, industrial action or other events outside our reasonable control.
Risk in the goods passes to the Customer when the goods are delivered to the Customer or the Customer's nominated delivery address.
Customers should inspect orders promptly after delivery.
Claims relating to:
should be reported to Wolf Tribe as soon as reasonably practicable, preferably within 5 business days of delivery.
Photographs or other reasonable evidence may be requested where goods have been damaged in transit.
Problems that could not reasonably have been identified during an initial inspection should be reported promptly after discovery.
Wolf Tribe does not generally accept returns because a Customer:
Where Wolf Tribe has supplied an incorrect, damaged or defective product, we will assess the circumstances and provide an appropriate remedy, which may include replacement, credit or refund.
Goods must not be returned without prior approval from Wolf Tribe.
Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded.
Where products are food, beverage or consumable products, Customers must store, handle and display them in accordance with:
Wolf Tribe is not responsible for deterioration resulting from improper storage, handling, contamination or use after delivery.
Customers should follow appropriate stock rotation practices and observe all best-before, use-by or other date markings.
Wolf Tribe provides ingredient, allergen, preparation and other product information based on the formulation and information available to us.
Customers must not remove, obscure or alter mandatory ingredient, allergen, nutritional, safety or preparation information supplied with a product.
Customers selling prepared beverages, food or other products incorporating Wolf Tribe products remain responsible for meeting any legal obligations applying to their own finished product or service.
Customers may use product descriptions and marketing information supplied or approved by Wolf Tribe.
Customers must not make false, misleading, therapeutic, medical or health claims about Wolf Tribe products.
In particular, Customers must not represent that a Wolf Tribe product can diagnose, treat, prevent or cure a medical condition unless that representation has been expressly authorised by Wolf Tribe and is lawful.
Wolf Tribe products must not be repackaged, relabelled, diluted, reformulated or materially altered for resale under the Wolf Tribe name without our prior written approval.
A Customer wishing to incorporate a Wolf Tribe product into another product or sell it under another brand should contact us beforehand so that appropriate arrangements can be agreed.
Wholesale customers determine their own resale prices unless a lawful promotional arrangement has been separately agreed.
Any recommended retail price supplied by Wolf Tribe is a recommendation only.
Customers are responsible for ensuring that their sale and promotion of products comply with applicable laws and regulations.
The Wolf Tribe name, logos, product names, photographs, artwork and other brand material remain the intellectual property of Wolf Tribe or their respective owners.
Approved wholesale customers may use Wolf Tribe-supplied branding and marketing materials for the purpose of promoting genuine Wolf Tribe products purchased from us.
Brand material must not be materially altered or used in a misleading, defamatory or inappropriate manner.
Permission to use Wolf Tribe branding ends when the Customer ceases stocking Wolf Tribe products or if we reasonably request that particular material be removed.
From time to time we may reasonably change:
Where a change is material to an accepted order, we will take reasonable steps to advise the Customer before dispatch where practicable.
If Wolf Tribe becomes aware of a product safety issue or circumstances requiring withdrawal or recall of a product, Customers must reasonably cooperate with any instructions we provide.
Customers should retain sufficient purchasing and stock information to allow affected products or batches to be identified where reasonably practicable.
Wolf Tribe will meet its legal responsibilities relating to any product withdrawal or recall.
Each party is responsible for loss or damage caused by its own breach of these Terms, negligence or unlawful conduct.
To the extent permitted by law, Wolf Tribe is not responsible for indirect or consequential commercial losses such as loss of anticipated profits arising from matters outside our reasonable control.
Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.
Wolf Tribe may suspend or close a wholesale account where there is a reasonable commercial reason to do so, including:
Where reasonably practicable, we will give the Customer an opportunity to address the issue before closing an account.
Either party may otherwise choose to discontinue the wholesale relationship at any time, subject to completing or resolving any accepted orders and outstanding accounts.
Wolf Tribe may collect and use business and personal information necessary to:
We will handle personal information in accordance with applicable Australian privacy laws.
Wolf Tribe may update these Terms from time to time.
Updated Terms will apply to orders placed after the updated Terms have been provided or made reasonably available to the Customer.
Changes will not retrospectively alter an order already accepted unless agreed by both parties or required by law.
These Terms are governed by the laws of New South Wales, Australia.
The parties submit to the jurisdiction of the courts and tribunals of New South Wales and any courts having appellate jurisdiction from them.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue to apply.
Failure by either party to enforce a right immediately does not mean that right has been waived.
These Terms, together with any accepted quotation, invoice, wholesale account agreement or specific written agreement between Wolf Tribe and the Customer, form the agreement applying to the relevant supply.
Where a separately negotiated written agreement expressly conflicts with these Terms, the separately negotiated agreement will apply to the extent of that inconsistency.
